Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Aerspeck Tech & Things Ltd ("Company," "we," "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Aerspeck Tech & Things Ltd provides digital product development services including but not limited to:

• Mobile application development (iOS and Android)
• Web application and website development
• UI/UX design and prototyping
• Cloud infrastructure and backend development
• Fintech and payment solution development
• Digital strategy and consulting

3. Project Engagement

3.1 Proposals and Agreements

All project engagements begin with a detailed proposal outlining scope, timeline, deliverables, and pricing. Work commences only upon written acceptance of the proposal and execution of a formal agreement.

3.2 Client Responsibilities

Clients are responsible for:

• Providing timely feedback and approvals at each project milestone
• Supplying all necessary content, assets, and access credentials
• Designating a primary point of contact for project communications
• Making payments according to the agreed schedule

3.3 Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions or scope changes beyond the original agreement may incur additional costs and timeline adjustments.

4. Payment Terms

• A deposit (typically 40-50%) is required before project commencement
• Milestone payments are due upon delivery and approval of each phase
• Final payment is due upon project completion and before final deliverables are handed over
• Late payments may incur a 2% monthly late fee
• All prices are quoted in the currency specified in the proposal

5. Intellectual Property

5.1 Client Ownership

Upon full payment, the client receives full ownership of all custom-developed code, designs, and assets created specifically for the project, unless otherwise stated in the agreement.

5.2 Company Rights

Aerspeck Tech & Things Ltd retains the right to:

• Use non-proprietary tools, frameworks, and libraries in development
• Showcase the project in our portfolio (unless covered by an NDA)
• Retain ownership of reusable components and internal tools

6. Confidentiality

We treat all client information as confidential. We will not disclose your business information, proprietary data, or project details to third parties without your written consent, except as required by law. NDA agreements are available upon request.

7. Warranties and Liability

7.1 Service Warranty

We provide a 30-day bug-fix warranty after project delivery, covering defects in the delivered software that deviate from the agreed specifications.

7.2 Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages.

8. Project Cancellation

• Either party may terminate a project with 14 days written notice
• The client is responsible for payment for all work completed up to the date of cancellation
• Deposits are non-refundable unless otherwise agreed in writing
• All completed deliverables will be provided upon settlement of outstanding payments

9. Support and Maintenance

Post-launch support and maintenance services are available as separate engagements. Standard support includes:

• Bug fixes and critical patches
• Security updates and monitoring
• Performance optimisation
• Minor feature enhancements

Support plans and pricing are detailed in separate agreements.

10. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in Lagos, Nigeria.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Continued use of our services after changes constitutes acceptance of the revised terms.
